This website enables you to purchase a limited licence to download and modify document templates (described in these Terms of Use as "IT Contracts")  from us. These Terms of Use together with our Privacy Policy  ("the agreement") constitutes an agreement which regulates our commercial relationship with you. The agreement is governed by the law in force in New South Wales. Every time you browse this website and/or download any IT Contracts from this website, you will be deemed to have agreed to and accepted these Terms of Use and our Privacy Policy wholly and unconditionally. If you do not agree with any of the terms and conditions set out in this Terms of Use or our Privacy Policy, you must not use our website for any purpose. 

Generic nature of our IT Contracts

The provision of  IT Contracts to you is not legal advice. If you purchase an IT Contract from us, we agree to provide you with a limited amount of free telephone legal advice in relation to the IT Contract which you have purchased at a time convenient to you and us. We will only provide you with the free legal advice once we receive payment for the relevant IT Contract and subject to there being no conflict of interest. It may not be possible to answer all of your questions during the time allocated. However, we can provide further legal advice for an additional fee that we can quote or estimate once we understand the scope of the advice that you require. Once you have purchased a IT Contract from us, please contact us to arrange a mutually convenient time to arrange your free legal advice.

What is included in the fees payable through this website?

The fees payable through the website will entitle you to acquire a Licence to the IT Contracts that you purchase as well as free legal advice (as mentioned above). All prices on the website include GST.  When you purchase a IT Contract from us through this website,  you will be provided with the option to download the IT Contract in Microsoft Word format to your computer, to your Dropbox or your Google Drive account. While the IT Contract will reflect the law at the time we publish it to the website, it may not reflect the law at the time it is downloaded by you. We may update the IT Contract from time to time.  The amount of free legal advice provided with each purchased IT Contract depends on the IT Contract that you purchase. The specific amount of free legal advice provided is set out in the relevant IT Contract description published on our website.

Can I amend the IT Contracts?

The IT Contracts you purchase are made available to you in Microsoft Word format so that you or your legal representatives can amend the IT Contract in any way you deem appropriate. 

Questionnaires

Most of the IT Contracts that we provide through our website include a questionnaire that enables you to tailor the IT Contracts you purchase from us to a limited extent using the responses you provide to the questionnaire. You must only enter information into the questionnaires that you have a legal right to enter ("your content"). You hereby grant us a non-exclusive licence to use your content as necessary for us to provide our services through the website and to advise you should you wish us to provide legal advice to you in accordance with these Terms of Use.  You indemnify us in relation to any claims that may be made against us relating to your content, including, but not limited to, claims that your content infringes the rights of any person.

Will you provide a Tax Invoice?

Yes, our tax invoice will be sent to you once we receive payment.

Conflicts of Interest

If it becomes apparent to us that you are seeking advice from us in relation to a matter that involves a current or former client of our firm from whom we have acquired confidential information relevant to your matter, or that we otherwise have a conflict of interest which by law prevents us from acting on your behalf, we will not be able to advise you and will decline to provide you with any legal advice.  We will also not advise you if you are a party to a dispute or litigation involving one of our current clients who we are acting for in the litigation.

No tax or financial advice

We are not tax lawyers, advisors or accountants. We do not provide advice on GST, income tax, PAYG, stamp duty, capital gains tax or any other taxes or duties that may be applicable to your transactions. We do not provide any financial advice. We strongly recommend that you consult an experienced tax advisor and financial advisor to assist you with and advise you on your specific circumstances.

Australian Law only

Please note our contracts are drafted in accordance with Australian law only. We are not qualified to provide advice in relation to the laws of any foreign jurisdictions.

Our liability

Our liability is limited by a Scheme approved under Professional Standards Legislation. 

In addition, if the Australian Consumer Law (ACL) implies any consumer guarantee into our commercial relationship with you and the ACL enables us to limit our liability in relation to any breach of such guarantee, we limit our liability, at our option as follows: in the case of goods to: (a)  the replacement of the goods or the supply of equivalent goods; (b)  the repair of the goods; (c)  the payment of the cost of replacing the goods or of acquiring equivalent goods; or (d)  the payment of the cost of having the goods repaired; and, in the case of services we limit our liability, at our option to: (a)  the supplying of the services again; or (b) the payment of the cost of having the services supplied again.  

To the extent permitted by law, we are not liable for indirect, consequential or incidental or special loss or damage.

Payments

Termination, discontinuance, suspension

We may need to take the website offline from time to time to conduct maintenance. We reserve the right to terminate, suspend or discontinue the operation of this website at any time. We reserve the right to refuse orders placed on the website by any person including any person who is in breach of the terms and conditions set out on this webpage.
